Partnership Agreement

This agreement establishes a referral partnership between you (the "Partner") and Stockovaa Technologies for promoting our point of sale, inventory and business management platform. You will receive unique referral links to share with potential customers and earn 25% commission on all successful subscriptions for the lifetime of each referred customer.

1.1 Stockovaa Technologies ("Company")

A registered technology company operating a point of sale, inventory and business management platform, with its principal place of business in Lagos, Nigeria. The Company provides business software and seeks to expand its customer base through qualified partners.

1.2 Partner ("You")

An individual or entity who wishes to promote Stockovaa's services through referral marketing in exchange for commission payments. By accepting this agreement, you confirm that you:

• Are at least 18 years of age or of legal age in your jurisdiction
• Have the legal capacity to enter into binding contracts
• Agree to promote Stockovaa's services ethically and professionally
• Will comply with all applicable laws and regulations

There is no residency requirement. Partners may join from any country, subject to the eligibility rules in the Terms of Service and to any restriction imposed by law where you live.

This partnership operates as a referral-based commission programme. The complete process is:

• Partner registration. Complete an application and be approved as a Stockovaa partner.
• Receive referral links. Get unique tracking links and access to the partner dashboard.
• Promote Stockovaa. Share your referral links through your marketing channels.
• Customer signs up. Potential customers click your link and register an account.
• Customer subscribes. Referred customers purchase a paid subscription package.
• Earn commissions. Receive 25% of the subscription fee for the customer's lifetime.

3.1 Unique referral links

Upon approval, you will receive:

• Personalised referral links with unique tracking codes
• A partner dashboard for monitoring performance
• Marketing materials and promotional resources
• Real-time analytics and commission tracking

3.2 Cookie tracking system

Our tracking system works as follows:

• 30-day cookie duration. Referral attribution lasts 30 days from the first click.
• First-click attribution. The first partner referral gets the credit.
• Fraud protection. Systems are in place to prevent fake referrals and self-referrals.
• Accurate tracking. Every click, signup and subscription is attributed.

3.3 Attribution rules

• The customer must click through your referral link before signing up
• The subscription must occur within the attribution window
• Only new customers are eligible for referral commissions
• Self-referrals and fake accounts are strictly prohibited

4.1 Commission rates

Partners earn 25% commission on net subscription fees paid by referred customers. Commissions apply to new signups, renewals and plan upgrades. Net means the fee actually received by Stockovaa, after tax, refunds, chargebacks and payment processing costs.

4.2 Lifetime commissions

This partnership offers lifetime recurring commissions:

• You earn commission every month the customer remains subscribed
• There is no cap on total commission earnings per customer
• Commission continues if the customer upgrades to a higher plan
• Earnings compound as your referral base grows

4.3 Payment terms

• Withdrawal flexibility. Withdrawals can be requested and processed at any time.
• Automatic payouts. Withdrawals are paid out automatically to the payment method saved in your partner profile.
• Payment delays. We do not hold payouts. Any delay that does occur comes from your payment provider or issuing bank.
• Currency. All payments are made in your profile currency. International partners receive payment in their set currency, converted at the rate applying when the payout is made.

Payout methods. You may take payouts by bank transfer in Nigeria, by mobile money in Ghana and Kenya, or by PayPal, Wise, Payoneer or international bank transfer elsewhere. You choose your method in your partner profile and may change it at any time.

4.4 Commission exclusions

Commissions are not payable on:

• Refunded or disputed subscription payments
• Free trial periods. Commission starts when a paid subscription begins.
• Setup fees or one-time charges
• Fraudulent or suspicious transactions

5.1 Promotion requirements

As a Stockovaa partner, you agree to:

• Promote Stockovaa services honestly and accurately
• Use only approved marketing materials and messaging
• Clearly disclose your partner relationship when promoting
• Direct potential customers to use your unique referral links
• Provide good customer service and support where you can

5.2 Compliance obligations

• Comply with all applicable advertising and marketing laws
• Maintain professional standards in all promotional activities
• Keep your contact and payment information current
• Report any issues or concerns promptly to Stockovaa
• Maintain confidentiality of sensitive business information

5.3 Prohibited activities

• False or misleading claims about Stockovaa services
• Spam email or unsolicited communications
• Bidding on Stockovaa brand keywords in paid advertising
• Creating fake reviews, testimonials or customer accounts
• Self-referrals, or referring immediate family members
• Cookie stuffing or fraudulent tracking manipulation
• Promoting through adult or otherwise inappropriate content channels

6.1 Platform and support

Stockovaa will provide:

• A reliable business management platform for referred customers
• A partner dashboard with real-time tracking and analytics
• Marketing materials, banners and promotional content
• Technical support for tracking and payment issues
• Regular partner communications and programme updates

6.2 Commission processing

• Accurate tracking and attribution of all referrals
• Timely commission calculation and payment
• Transparent reporting of customer activity and earnings
• Secure payment processing and fraud protection
• Tax documentation and compliance support

6.3 Customer service

• Professional customer onboarding and support
• A high-quality platform and user experience
• Prompt resolution of customer issues and complaints
• Continuous platform improvements and new features

7.1 Independent contractor status

This partnership is established on the following terms:

• You are an independent contractor, not an employee of Stockovaa
• You have no authority to bind Stockovaa to any agreement
• You are responsible for your own taxes and business expenses
• This agreement does not create a joint venture or partnership entity
• You keep full control over your promotional methods and schedule

7.2 Non-exclusivity

This partnership is non-exclusive, which means:

• You may promote other business software platforms
• Stockovaa may work with other partners in your market area
• No territorial or market exclusivity is granted
• Both parties remain free to pursue other business opportunities

8.1 Licence to use Stockovaa materials

Stockovaa grants you a limited, non-exclusive, revocable licence to use:

• Stockovaa logos, trademarks and brand materials
• Approved marketing copy and promotional content
• Product screenshots and demonstration materials
• Educational content and training resources

8.2 Usage restrictions

You may not:

• Modify Stockovaa logos or create derivative works
• Use Stockovaa branding for purposes other than promotion
• Register domain names containing Stockovaa trademarks
• Claim official partnership status beyond this referral agreement

8.3 Your content rights

You retain ownership of your original promotional content, and you grant Stockovaa the right to use your testimonials and success stories for marketing purposes.

9.1 Termination by either party

This agreement may be terminated:

• By either party with 30 days written notice
• By Stockovaa immediately for breach of the agreement terms
• By you at any time, by closing your partner account
• Automatically if you are inactive for 12 consecutive months

9.2 Effect of termination

Upon termination:

• Your referral links are deactivated immediately
• Commission already earned is paid according to the normal schedule
• Access to the partner dashboard and materials is revoked
• You must cease all use of Stockovaa marketing materials
• Existing customer subscriptions may continue generating commission for a grace period

10.1 Governing law

This agreement is governed by the laws of Nigeria, and any dispute will be resolved in Lagos, Nigeria.

10.2 Limitation of liability

Stockovaa's total liability under this agreement shall not exceed the total commission paid to you in the 12 months preceding any claim.

10.3 Indemnification

You agree to indemnify Stockovaa against any claim arising from your promotional activities that violate this agreement or applicable law.

10.4 Modification

This agreement may only be modified in writing. Stockovaa may update the partner programme terms with 60 days advance notice.
